Welcome to GerberGPT, operated by TONYLABS TECH CO., LTD. (“GerberGPT”, “we”, “us”, or “our”). These Terms of Service (“Terms”) govern your access to and use of the GerberGPT website (gerbergpt.com), AI services, APIs, software, and related products (collectively, the “Service”).

By using or accessing any part of the Service, you agree to be bound by these Terms. If you do not agree, do not access or use the Service.

1. Scope of These Terms

These Terms cover:

The GerberGPT website (gerbergpt.com) and any subdomains.

Any AI features, including chatbots, component generation, schematic and PCB layout generation, and related automation.

API-based integrations, including use via third-party IDEs or plugins (e.g., Cursor, Trae, VSCode extensions).

Any testing programs, beta releases, or private access tokens distributed by GerberGPT.

2. Eligibility

To use the Service, you must be at least the age of majority in your jurisdiction, or have parental/guardian consent. You may use the Service only if you can form a legally binding contract with GerberGPT and comply with these Terms.

3. Account Registration and Access

Certain features may require an account or API token.

You agree to:

- Provide accurate, current, and complete information.

- Keep your credentials and tokens secure.

- Not share your credentials or tokens with others.

- Notify us immediately if you suspect unauthorized access.

GerberGPT may suspend or terminate your account for any reason, including misuse or violation of these Terms.

4. Description of the Service

GerberGPT provides AI-assisted electronic design automation tools and related services, including:

- Generation of component symbols, footprints, schematics, and PCB layouts.

- Conversational AI assistance for electronics design.

- Integration with supported IDEs and EDA software.

We may update, modify, or discontinue parts of the Service at any time. You acknowledge that results generated by AI are probabilistic and may not be error-free; all outputs should be verified before production use.

5. Acceptable Use

You agree not to:

- Use the Service to violate any law or regulation.

- Upload or share content that is illegal, obscene, defamatory, or infringes on intellectual property rights.

- Reverse-engineer, decompile, or attempt to extract source code from the Service or its models.

- Interfere with or disrupt Service operation.

- Use the Service to train competing models.

- Share or sell generated outputs or access tokens without permission.

We reserve the right to monitor usage and restrict access for abuse or misuse.

6. Intellectual Property

All materials provided by GerberGPT—including software, AI models, generated outputs, and website content—remain the property of GerberGPT or its licensors, except where explicitly stated otherwise.

You retain ownership of your input data, but grant GerberGPT a license to process, analyze, and store it as needed to provide and improve the Service.

Generated outputs are licensed to you for personal or commercial use, subject to compliance with these Terms and applicable laws.

7. AI Output Disclaimer

AI-generated outputs may contain inaccuracies, errors, or incomplete data. You are responsible for verifying all generated schematics, PCB layouts, and other design data before use.

GerberGPT provides no warranty for the correctness, functionality, or safety of any generated design.

8. Fees and Payments

Some features of GerberGPT may require payment.

- Prices and billing terms will be specified at the point of purchase.

- Subscriptions automatically renew unless canceled.

- No refunds are provided except as required by law.

- We may suspend access for non-payment or suspected fraud.

9. Data Usage and Privacy

Your use of the Service is also governed by our Privacy Policy.

We may collect and process data such as prompts, outputs, and usage metrics to improve model performance and user experience, consistent with our privacy commitments.

10. Termination

We may suspend or terminate your account, access, or API usage at any time for violation of these Terms or misuse of the Service.

You may terminate your account by contacting us through info@gerbergpt.com.

Upon termination, your right to use the Service ceases immediately.

11. Limitation of Liability

To the fullest extent permitted by law, GerberGPT and its affiliates are not liable for any indirect, incidental, or consequential damages, including design errors, data loss, or damages arising from use or inability to use the Service.

Our total liability to you will not exceed the amount you paid in the last 12 months for the Service, or USD $100, whichever is greater.

12. Indemnification

You agree to indemnify and hold harmless GerberGPT, its affiliates, and employees against any claims or damages arising from your use of the Service, your content, or your violation of these Terms.

13. Modifications to These Terms

We may revise these Terms at any time. Updates will be posted on this page with a new “Last Updated” date.

Your continued use of the Service after changes are posted means you accept the updated Terms.

14. Governing Law

These Terms shall be governed by and construed in accordance with the laws of the People’s Republic of China.

Any dispute, controversy, or claim arising out of or relating to these Terms or the Service shall be submitted to the people’s courts of Shanghai, China, which shall have exclusive jurisdiction over such matters.
